A large reason that business owners decide to incorporate is so that their personal assets are protected should anyone attempt to take legal action against the business.
It's wise to discuss with a lawyer which legal structure is optimal for you. That said, if you prefer to keep things simple, you may decide that a sole proprietorship is the appropriate choice for your company.
So what comes next?
1. File your trade name.
Register your company name (frequently referred to as a fictitious business name statement) with your county clerk's department. Simply complete the form and pay a small fee.
The statement lasts for a specified amount of years after which it needs to be renewed. The length of time before license expiration varies by location. You may also need to purchase an ad in the local newspaper announcing the creation of the business.
Note: If you use your name as the company name, you can usually skip this step. Make sure you run this past your city office.
2. Complete a business license application.
In most cases sole proprietorship businesses are required to acquire a basic business license, even if they are run from home. Some specialty industries require extra licenses or permits, such as a cosmetology license, real estate agent license, resale license, food service permit, etc. You can find out this information when you submit your license application.
Similar to registering a fictitious business name, filling out a business license application is as simple as inputing information on a brief document. In fact, a few towns have their applications available on their websites so that you can download and complete them at home. There is also an annual fee that gets charged.
3. Paying Taxes.
Throughout the year, sole proprietors must submit tax payments quarterly to the IRS and their state taxing agency (if applicable). This is because they are not having their taxes withheld from a paycheck from their employers. 1040-ES is the estimated tax document for individuals, and you can download the form along with instructions at the IRS website.
It's recommended to talk to an accountant who can guide you through the process. Accountants can also inform you of tax deductions you can maximize. When you submit your tax return, your business income is reported on Schedule C (Profit or Loss from a Business), which you attach with your 1040 form.
